Terms of Use

By using the kopernik.us API service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use. If you do not agree to these Terms of Use, you must not use the service.

1. Acceptance and Eligibility

By using this service, you represent and warrant that:

  • You are at least 18 years of age and have the legal capacity to enter into binding contracts
  • You have the authority to bind yourself or any entity you represent to these Terms of Use
  • All information you submit is truthful and accurate, and you will maintain the accuracy of such information
  • Your use of the service does not violate any applicable law or regulation

If you are using the service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms of Use.

2. User Responsibilities and Prohibited Conduct

You agree to use the service only for lawful purposes and in accordance with these Terms of Use. You expressly agree not to:

  • Use the service in any way that violates any applicable federal, state, local, or international law or regulation
  • Engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the service
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the service, the server on which the service is stored, or any server, computer, or database connected to the service
  • Attack the service via a denial-of-service attack or a distributed denial-of-service attack
  • Use the service to transmit, or procure the sending of, any advertising or promotional material without prior written consent
  • Impersonate or attempt to impersonate the service operators, another user, or any other person or entity
  • Use any robot, spider, or other automatic device, process, or means to access the service for any purpose
  • Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful

You are solely responsible for your conduct and any data, text, information, or other materials that you submit, post, or display through the service.

3. Security and Credential Management

You are responsible for:

  • Maintaining the confidentiality of all authentication tokens, API keys, access credentials, and account information
  • All activities that occur under your credentials, whether or not authorized by you
  • Maintaining appropriate backups and safeguards for your data
  • Immediately notifying the service operators of any unauthorized use of your credentials or any other breach of security

You agree not to share your credentials with any third party and to take all reasonable measures to prevent unauthorized access to your account.

4. User Data and Privacy

4.1 Data Collection and Use

By using this service, you acknowledge and agree that all data provided by you to the service and/or its operators/owners, whether directly submitted or collected by the service through any means, is considered voluntarily provided. This includes, but is not limited to, data submitted through:

  • The API service itself, including API interactions, authentication tokens, resource metadata, usage patterns, and any other information transmitted to or through the service
  • Issue trackers, bug reports, or feature requests
  • Email, support tickets, or other direct communications
  • Any other communication channel or medium

Such data may be used for any lawful purpose, including but not limited to:

  • Service improvement and optimization
  • Implementation of new features and functionality
  • Analytics and performance monitoring
  • Research and development
  • Marketing and promotional materials
  • Documentation and examples
  • Compliance with legal obligations
  • Any other purpose not prohibited by applicable law

You acknowledge that technical and usage data may be retained and used by the service operators without attribution or compensation to you.

4.2 Data Protection and Retention

The service operators implement reasonable security measures to protect your data. However, no method of transmission or storage is 100% secure, and we cannot guarantee absolute security.

Data Retention: We retain your data for as long as necessary to provide the service and fulfill the purposes outlined in these Terms of Use. Technical logs and analytics data may be retained for up to 24 months. When data is no longer needed, it will be securely deleted or anonymized.

Data Deletion: If you wish to request deletion of your personal data, you may contact us at kopernik.us@mailbox.org. We will process such requests in accordance with applicable laws, subject to legitimate business needs and legal obligations.

4.3 International Data Transfers and Privacy Rights

If you are located in the European Economic Area (EEA), United Kingdom, or other jurisdictions with data protection laws:

  • Your data may be transferred to and processed in countries outside your jurisdiction, including the United States
  • You may have certain rights regarding your personal data under applicable laws (such as GDPR, CCPA), including rights to access, correct, delete, or export your data
  • To exercise these rights or for data protection inquiries, contact: kopernik.us@mailbox.org
  • We will respond to such requests within the timeframes required by applicable law

5. Use of Cookies

By using this service, you consent to the use of cookies and similar tracking technologies. Cookies are small text files that are placed on your device to collect standard internet log information and visitor behavior patterns. We use cookies for the following purposes:

  • Essential Cookies: These cookies are necessary for the service to function properly, including maintaining your session state, authentication, and security
  • Performance and Analytics: These cookies help us understand how visitors interact with the service by collecting and reporting information anonymously
  • Functionality: These cookies enable enhanced functionality and personalization, such as remembering your preferences and settings

You acknowledge and agree that:

  • The service may use both session cookies (which expire when you close your browser) and persistent cookies (which remain on your device for a set period)
  • Some features of the service may not function properly if cookies are disabled
  • Third-party services integrated with this service may also use cookies in accordance with their own privacy policies

You may disable cookies through your browser settings; however, this may limit your ability to use certain features of the service. The service operators are not responsible for any loss of functionality resulting from your decision to disable cookies.

6. Intellectual Property

6.1 Service Ownership

All rights, title, and interest in and to the service, including all software, code, technology, documentation, and related materials, are and will remain the exclusive property of the service operators and their licensors. These Terms of Use do not grant you any intellectual property rights in the service except for the limited right to use the service as expressly permitted herein.

6.2 User Content

You retain ownership of any original content, code, or data that you create and submit through the service. However, by submitting such content, you grant the service operators a worldwide, non-exclusive, royalty-free, perpetual, and irrevocable license to use, modify, reproduce, and distribute such content solely for the purposes of operating, improving, and promoting the service.

6.3 Feedback

Any feedback, suggestions, or ideas you provide about the service become the property of the service operators and may be used without any obligation or compensation to you.

7. Third-Party Services and Costs

This service integrates with third-party cloud providers (Akamai, AWS, DigitalOcean). You acknowledge and agree that:

  • You are subject to the terms of service and policies of these third-party providers when accessing their resources through this API
  • The service operators are not responsible for the availability, functionality, or policies of third-party services
  • You are solely responsible for all costs, fees, and charges incurred from your use of third-party cloud provider resources through this API service
  • The service operators have no responsibility or liability for any costs you incur from cloud providers
  • You are responsible for monitoring your usage, setting appropriate budgets and alerts with your cloud providers, and managing your resource consumption

8. Service Availability and Modifications

The service operators reserve the right, in their sole discretion, to:

  • Modify, amend, or update these Terms of Use at any time without prior notice
  • Modify, suspend, or discontinue any aspect of the service at any time, including the availability of any feature, database, or content, without notice or liability
  • Terminate or suspend your access to all or any part of the service immediately, without prior notice or liability, for any reason or no reason
  • Refuse service to anyone for any reason at any time
  • Remove or modify any content or data associated with your use of the service

No service level agreement (SLA) is provided. Any changes to these Terms of Use will be effective immediately upon posting. Your continued use of the service after any such changes constitutes your acceptance of the new Terms of Use. It is your responsibility to review these Terms of Use periodically for changes.

Upon termination, your right to use the service will immediately cease. You agree that the service operators shall not be liable to you or any third party for any termination of your access to the service or modification of the service.

9. Warranties and Disclaimers

The Kopernik.us API service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, either express or implied, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Accuracy, reliability, completeness, or integrity of information or data
  • Availability, uptime, or uninterrupted access
  • Error-free operation or bug-free functionality
  • Security of data transmission or storage
  • Compatibility with your systems or third-party services

10. Limitation of Liability

You use the service entirely at your own risk. To the maximum extent permitted by applicable law, in no event shall the service operators, owners, employees, contractors, agents, licensors, or suppliers be liable to you for any damages whatsoever, including but not limited to direct, indirect, special, incidental, consequential, or punitive damages, or damages for loss of use, profits, data, or other intangibles, arising out of or related to:

  • Your use of or inability to use the service
  • Any damage to your computer systems, data loss, or other harm resulting from your use of the service
  • Any failure to protect your credentials or any unauthorized use of your account
  • Any modification, suspension, or termination of the service
  • Any actions or omissions by third-party cloud providers

This limitation applies even if the service operators have been advised of the possibility of such damages.

If, notwithstanding the foregoing limitations, the service operators are found liable to you for any damage or loss, you agree that the aggregate liability of the service operators shall in no event exceed the greater of (a) the amount you paid to use the service in the twelve (12) months preceding the claim, or (b) one hundred United States dollars ($100.00).

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you. In such jurisdictions, liability shall be limited to the greatest extent permitted by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless the service operators, owners, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:

  • Your violation of these Terms of Use
  • Your use or misuse of the service
  • Your violation of any rights of another party
  • Your violation of any applicable laws or regulations
  • Any data or content you submit, post, or transmit through the service
  • Any costs or charges incurred from your use of third-party cloud provider resources
  • Any actions taken by cloud providers based on your instructions through the service
  • Your failure to protect your credentials or any unauthorized use of your account

This indemnification obligation will survive the termination of your use of the service.

12. Export Control and Sanctions Compliance

You represent and warrant that you are not located in, under the control of, or a national or resident of any country to which the United States has embargoed goods or services, or that is on the U.S. Treasury Department’s list of Specially Designated Nationals or the U.S. Department of Commerce’s Denied Persons List or Entity List.

You agree to comply with all applicable export and import control laws and regulations, including but not limited to the Export Administration Regulations maintained by the U.S. Department of Commerce and sanctions programs administered by the U.S. Treasury Department’s Office of Foreign Assets Control (OFAC).

You will not use the service to:

  • Export, re-export, or transfer any technology or software in violation of applicable laws
  • Provide access to the service to any person or entity on a restricted party list
  • Use the service in any manner that would violate sanctions, export control, or import laws

13. Dispute Resolution

Binding Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms of Use or the service, including the breach, termination, enforcement, interpretation, or validity thereof, shall be resolved through binding arbitration rather than in court, except that you may assert claims in small claims court if your claims qualify.

You agree that:

  • Arbitration shall be conducted by a single arbitrator in accordance with the rules of the American Arbitration Association (AAA)
  • The arbitration may take place in Delaware or via remote/online proceedings at the arbitrator’s discretion or upon mutual agreement of the parties
  • The arbitrator’s decision shall be final and binding
  • Each party shall bear its own costs and attorneys’ fees, unless the arbitrator decides otherwise
  • You waive any right to a jury trial
  • You waive any right to participate in a class action or class-wide arbitration

Informal Dispute Resolution: Before initiating arbitration, you agree to first contact us at kopernik.us@mailbox.org to attempt to resolve the dispute informally for at least thirty (30) days.

Governing Law: These Terms of Use and any dispute or claim arising out of or related to the service shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law provisions.

Jurisdiction: Any legal action or proceeding related to these Terms of Use or the service (excluding arbitration as described above) shall be brought exclusively in the federal or state courts located in Delaware, and you irrevocably consent to the jurisdiction and venue of such courts.

Statute of Limitations: You agree that any cause of action arising out of or related to the service must commence within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred.

14. General Provisions

Severability: If any provision of these Terms of Use is found to be unenforceable, invalid, or illegal by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The unenforceable, invalid, or illegal provision shall be modified to the minimum extent necessary to make it enforceable, valid, and legal while preserving its intent, or if such modification is not possible, it shall be severed from these Terms of Use.

No Waiver: The waiver by the service operators of any breach or default under these Terms of Use shall not constitute a waiver of any subsequent breach or default.

Entire Agreement: These Terms of Use constitute the entire agreement between you and the service operators regarding the use of the service and supersede all prior or contemporaneous understandings and agreements, whether written or oral, regarding the service.

Amendments: No amendment to or modification of these Terms of Use will be binding unless in writing and signed by an authorized representative of the service operators.

Survival: All provisions of these Terms of Use which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.
